TF1 et Axel Springer sont en discussion exclusive
TF1 est en discussion exclusive avec Axel Springer SE, en vue d'un possible
rachat des 78,43 % détenus par ce dernier dans aufeminin S.A.
Le groupe aufeminin propose une offre éditoriale et communautaire sur les
thématiques comme la mode, la beauté, le style de vie, la cuisine, la santé.
Aufeminin S.A. est cotée en bourse au compartiment B d'Euronext Paris.
En fonction de leur issue, la poursuite des discussions donnera lieu le cas
échéant à une communication détaillée en temps utile. La conclusion d'un
accord d'acquisition serait, conformément à la législation, soumise à
l'examen des autorités compétentes et à la consultation des instances
représentatives du personnel d'aufeminin S.A. et de TF1 S.A.

TF1 and Axel Springer: Exclusive discussions
TF1 is in exclusive discussions with Axel Springer SE about the potential
acquisition of its indirect 78.43% stake in aufeminin S.A.
aufeminin?group offers digital products and subscriptions on topics such as
fashion, beauty, lifestyle, cooking and health. The shares of aufeminin S.A.
are listed on Compartment B of Euronext Paris stock exchange.
Whether or not an agreement will be reached by the negotiating parties as well
as the terms of such an agreement will depend on the further progress of the
discussions. The conclusion of a binding share purchase agreement is as
required by French law dependent on, inter alia, the prior implementation of an
information and consultation procedure of the works councils of aufeminin S.A.
and Télévision Française 1 S.A. Further, completion of a transaction would
require clearance by the competent cartel authorities.
